Enable USB Debugging from the path ” Settings > Applications > Development > USB Debugging”
Basically the rooting procedure is sub divided into two broad parts:
Installation of Clock Work Mod Recovery and Installation of Super User. Let’s go through each of these procedures in detail.
Installation of Clock Work Mod Recovery in Motorola Wi Fi XOOM:
Step-1: Download Super user and Clock Work Recovery Image from the Must Have section to your computer and connect the tablet via original USB Cable obtained at purchase time. Copy the downloaded zip files to your phone’s SD Card without modifying or renaming them.
Step-2: After copying is finished, disconnect the phone from computer and power off your phone to enter into Fast boot mode. Again connect the Xoom to your computer via USB Cable then launch the command prompt and enter the command mentioned below.

Step-4: Connect the Xoom to your computer via USB Cable and copy the downloaded Super user package to your Motorola Xoom . After copying is finished, disconnect the tablet from computer and boot it into Recovery mode by pressing the Volume Down key and Power button simultaneously.
Step-5: In Recovery mode choose the option of “Flash Zip from SD Card” then select ”Choose zip from SD Card” to select Super user zip file placed in your Motorola Xoom Wi-Fi only version.
